GradeIQ Terms of Service

These Terms of Service ("Terms") are an agreement between you and Kejani ("Kejani," "we," "us," or "our") for your use of GradeIQ, including our website, Android application, iOS application, and related services (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy.

1. The GradeIQ Service

GradeIQ provides AI-assisted sports-card and TCG scanning, card identification, value-estimation, and related AI features. You may create an account on the website, select an available plan, and use the same account to access supported features in the GradeIQ mobile applications.

Features, supported devices, markets, pricing sources, and availability may change. We may add, modify, suspend, or discontinue features, subject to applicable law and any rights you have under a paid plan.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account and must promptly tell us if you suspect unauthorized access. Do not share your password, impersonate another person, or create an account for someone else without permission.

You may delete your account through the website using our Account Deletion page. Account deletion does not automatically remove scan files stored locally on your device and does not necessarily cancel a recurring subscription, so those actions must be handled separately.

3. Eligibility and Age Requirements

The Services are general-audience services and are not directed to children under 13, or the higher minimum age required in your jurisdiction. By using the Services, you represent that you meet that minimum age and have the legal capacity to agree to these Terms. If you are below the age of legal majority, use the Services only with the permission and supervision of a parent or legal guardian where required.

Do not create an account for, or knowingly provide personal information belonging to, a child in violation of applicable law. If we learn that an account was created in circumstances requiring parental consent, we may suspend it while we investigate and take the deletion steps described in our Privacy Policy.

4. Paid Plans and Payments

GradeIQ may offer free and paid plans. The checkout or purchase screen will show the applicable features, price, taxes, billing interval, renewal terms, and any trial or promotional conditions before you purchase. Your access to a paid plan is tied to the account used for the purchase.

• If a plan is an auto-renewing subscription, it renews for the stated billing period until you cancel it. Cancel through your GradeIQ account or the payment provider before the next renewal date to avoid the next charge.
• A purchase made through Google Play or the Apple App Store is billed and managed by that store. Store cancellation, refund, and payment terms may apply, and you may need to request a store purchase refund from the store.
• Purchases for digital features made inside the Android application will use Google Play billing where required by Google Play policy. We will not ask you to bypass required app-store billing through an in-app link or message.
• Deleting your GradeIQ account does not by itself stop a payment-provider or app-store subscription. You can cancel recurring billing through the same provider used for the purchase.

Nothing in these Terms limits any refund, cancellation, or consumer rights that cannot be waived under the laws that apply to you.

Except where a refund is required by law, the applicable app-store rules, or the purchase terms shown at checkout, payments are non-refundable. You are responsible for cancelling an auto-renewing subscription before the next renewal date. Account deletion is not a cancellation instruction to a payment provider or app store.

5. AI, Card Values, and Important Disclaimers

GradeIQ uses automated and AI-assisted systems. Results may be incomplete, inaccurate, delayed, or affected by image quality, card condition, market changes, missing data, or model limitations. Card identification and value estimates are for informational purposes only; they are not a guarantee, appraisal, offer to buy or sell, investment advice, financial advice, tax advice, insurance valuation, or authentication or grading certification.

You are responsible for independently verifying any result before buying, selling, trading, insuring, grading, pricing, or otherwise relying on a card or market estimate. We do not guarantee the authenticity, condition, rarity, legality, marketability, or future value of any card, nor the outcome of any sports-related analysis.

You must not use an estimate as the sole basis for a purchase, sale, investment, insurance, lending, tax, or other decision that could cause financial loss. Market prices can change rapidly, and a result may be wrong even when the image and other information you provide appear accurate.

GradeIQ is not affiliated with, sponsored by, or endorsed by sports leagues, teams, athletes, card manufacturers, publishers, game companies, marketplaces, or trademark owners unless we expressly say so.

6. Your Content

You retain ownership of images, prompts, text, and other material that you submit to the Services ("User Content"). You give Kejani a limited, non-exclusive license to host, transmit, process, and display User Content only as reasonably necessary to operate, secure, support, and improve the requested Services.

Most card images, card data, and scan results are stored locally on your device. If a feature sends an input to our systems or a third-party AI, recognition, or pricing provider, you authorize that processing for the purpose of returning the requested result. You represent that you have the rights and permissions needed to submit User Content and that it does not violate these Terms or another person's rights.

7. Acceptable Use

You may not use the Services to:

• Break the law, infringe intellectual-property or privacy rights, or facilitate fraud or harm.
• Upload content you do not have permission to use or that contains another person's sensitive data.
• Reverse engineer, decompile, scrape, copy, resell, overload, or interfere with the Services.
• Attempt to bypass access controls, plan limits, payment requirements, or security features.
• Use automated results to make high-stakes decisions about a person or to mislead another person.
• Upload malware or use the Services to attack, impersonate, harass, or exploit anyone.

We may remove content, limit access, suspend, or terminate an account when reasonably necessary to protect the Services, users, or third parties, or to comply with law.

8. Intellectual Property

The Services, including their software, design, branding, documentation, and technology, are owned by Kejani or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are transferred to you. GradeIQ and Kejani names and logos may not be used without permission.

9. Third-Party Services

The Services may rely on or link to third-party services, including payment providers, app stores, hosting, analytics, AI, recognition, pricing, and authentication providers. Third-party terms and privacy policies apply to those services. We are not responsible for third-party services, content, availability, or policies, except where applicable law requires otherwise.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, secure, error-free, or accurate, or that any estimate or AI output will meet your needs.

To the maximum extent permitted by law, Kejani will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business arising from or related to the Services or these Terms. These limits do not apply where prohibited by law or to liability that cannot legally be excluded or limited.

To the maximum extent permitted by law, Kejani's total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid Kejani for the Services during the 12 months before the event giving rise to the claim, or (b) US$100. This cap does not limit liability that cannot legally be limited, including applicable consumer rights and liability for fraud, willful misconduct, or death or personal injury where such a limitation is prohibited.

You agree that these disclaimers and limits are an essential basis of the bargain and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.

11. User Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Kejani and its service providers from third-party claims, losses, liabilities, and reasonable costs arising from your User Content, your unlawful or unauthorized use of the Services, your violation of these Terms, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from Kejani's own conduct or cannot legally be imposed on you.

12. Changes and Termination

We may update these Terms as the Services or law changes. We will post updated Terms and change the effective date. If a change is material, we may provide additional notice. If you do not agree to updated Terms, stop using the Services and cancel any applicable subscription.

You may stop using the Services at any time. We may suspend or terminate access for a violation of these Terms, legal or security reasons, or circumstances that make continued operation impractical. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual-property protections, disclaimers, and limitations of liability.
